Terms and Conditions

These Website Terms & Conditions ("Terms") form a binding agreement between you and D3 Creative LLC ("D3 Creative," "we," "us," or "our") concerning your access to and use of d3creative.live and any pages, forms, content, or features that link to these Terms (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. About the Site

D3 Creative provides live-event production, lighting, media, technical design, production support, equipment-related services, and skilled production personnel. The Site presents general information about our company and services and allows visitors to request an event estimate, submit a project inquiry, or express interest in freelance crew opportunities.

The Site is intended for users who are at least 18 years old and able to enter into a binding agreement. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Website Information Is Not a Quote or Services Agreement

Site content is provided for general informational and inquiry purposes. Descriptions, examples, images, availability statements, response-time estimates, and references to services or equipment do not constitute a firm offer, reservation, guarantee, or binding quote. An event date, crew member, item of equipment, rate, or scope is not reserved or confirmed merely because you submit a form or communicate with us.

Production services, rentals, labor, design work, and other paid engagements are governed by the applicable estimate, proposal, statement of work, rental agreement, services agreement, invoice terms, or other written agreement accepted by D3 Creative and the client (a "Project Agreement"). If these Terms conflict with a Project Agreement, the Project Agreement controls with respect to that engagement.

3. Estimates and Project Inquiries

When you request an estimate or submit project information, you agree that the information you provide is accurate and that you are authorized to share it. Any estimate is based on the information then available and may change if dates, venues, schedules, labor calls, technical requirements, equipment needs, travel, site conditions, client requests, or other assumptions change. D3 Creative may decline an inquiry or engagement in its discretion.

4. Freelance Crew Submissions

The "Work with Us" area is an invitation to share professional information for possible freelance opportunities. A submission is not an offer of work, promise of future engagement, employment application acceptance, or guarantee of any minimum number of hours or projects. Unless D3 Creative and the individual later enter into a written agreement stating otherwise, no employment, agency, partnership, joint venture, fiduciary, or exclusive relationship is created by submitting information or communicating through the Site.

You are responsible for ensuring that resumes, portfolio materials, references, licenses, certifications, availability, and other information you submit are truthful, current, and yours to provide. Do not submit sensitive personal information that we have not specifically requested, such as Social Security numbers, banking details, passport numbers, or medical information.

5. Acceptable Use

You may use the Site only for lawful purposes and in accordance with these Terms. You may not:

Use the Site in a way that violates any applicable law, regulation, or third-party right.

Submit false, misleading, fraudulent, defamatory, infringing, malicious, or unlawful content.

Attempt to gain unauthorized access to the Site, accounts, systems, servers, or data.

Introduce viruses, malicious code, automated attacks, excessive requests, or other material that could disrupt or damage the Site.

Scrape, harvest, crawl, copy, or use automated means to extract Site content or personal information, except as permitted by law or our written consent.

Impersonate another person or entity or misrepresent your identity, affiliation, authority, or purpose.

Use Site content, project images, client names, logos, or portfolio materials to imply an endorsement or relationship that does not exist.

6. Intellectual Property

The Site and its original content, design, text, graphics, logos, branding, photographs, videos, compilations, and other materials are owned by or licensed to D3 Creative and are protected by intellectual-property and other laws. Client names, venue names, event images, and third-party marks remain the property of their respective owners and are displayed for identification or portfolio purposes where authorized.

Subject to these Terms, D3 Creative grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business evaluation of our services. You may not reproduce, modify, distribute, publicly display, sell, license, create derivative works from, or commercially exploit Site materials without our prior written permission or the permission of the applicable owner.

7. Materials You Submit

You retain ownership of materials you submit through the Site. You grant D3 Creative a non-exclusive, worldwide, royalty-free license to host, copy, review, use, and share those materials only as reasonably necessary to evaluate and respond to your inquiry, consider you for opportunities, administer our business, maintain records, prevent misuse, and comply with law. You represent that you have the rights and permissions necessary to provide the materials and grant this license.

8. Communications

By providing contact information, you authorize D3 Creative to respond to your inquiry and communicate with you about the requested project, services, or freelance opportunities using the contact methods you provide. This consent does not require you to purchase services. Marketing emails, if any, will include an appropriate way to unsubscribe. Standard message and data rates may apply to text messages.

9. Third-Party Services and Links

The Site may be hosted or supported by third parties and may link to third-party websites, social platforms, maps, forms, scheduling tools, payment processors, or other services. D3 Creative does not control and is not responsible for third-party content, availability, security, or privacy practices. Your use of a third-party service may be governed by that provider’s own terms and policies.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information associated with the Site and is incorporated into these Terms by reference.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. D3 CREATIVE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT SITE CONTENT WILL ALWAYS BE COMPLETE, CURRENT, OR SUITABLE FOR YOUR NEEDS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, D3 CREATIVE AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF D3 CREATIVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID, IF ANY, SPECIFICALLY TO ACCESS THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations do not apply where prohibited by law and do not modify liability allocated under a separate Project Agreement.

13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless D3 Creative and its members, managers, employees, contractors, and agents from claims, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your unlawful or unauthorized use of the Site, your submitted materials, your violation of these Terms, or your violation of another person’s rights.

14. Suspension and Termination

We may restrict, suspend, or terminate access to the Site, remove submitted content, or take protective measures at any time if we reasonably believe there has been misuse, a security risk, a legal violation, or a breach of these Terms. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing-law provisions.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Subject to any controlling Project Agreement, any action arising out of or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and each party consents to personal jurisdiction and venue in those courts. Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief.

16. Changes to the Site or These Terms

We may modify the Site and these Terms from time to time. The updated Terms will be posted on the Site with a revised effective date. Changes apply prospectively when posted unless a different date is stated. Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms.

17. General Terms

These Terms, together with the Privacy Policy and any applicable Project Agreement, contain the entire agreement concerning their subject matter. If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; D3 Creative may assign them in connection with a merger, reorganization, sale of assets, financing, or by operation of law.
